1. Introduction

Welcome to HengenMiller.com (the “Site”). By accessing this Site, placing an order, submitting a purchase request, or otherwise engaging with our products or services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site or our services.

These Terms apply to all visitors, customers, and users of the Site, including commercial customers and government entities.

3. Eligibility & Authorized Use

This Site is intended solely for business-to-business (B2B) transactions.

By placing an order or submitting a purchase request, you represent and warrant that:

  • You are at least 18 years of age

  • You are authorized to act on behalf of the organization you represent

  • All information provided is accurate and complete

Hengen Miller, Inc. reserves the right to refuse service, cancel orders, or suspend accounts at its discretion.

4. Product Information & Availability

We make reasonable efforts to ensure that product descriptions, specifications, pricing, and availability are accurate. However:

  • Specifications and availability may change without notice

  • Errors or omissions may occur

  • Images are for reference only and may not reflect exact configurations

Hengen Miller, Inc. reserves the right to correct errors, substitute equivalent products, update information, or cancel orders prior to shipment.

5. Pricing, Taxes & Payment

  • All prices are listed in U.S. Dollars (USD) unless otherwise stated

  • Prices may change without notice

  • Applicable taxes, fees, and shipping charges are added at checkout or invoicing

Accepted payment methods may include credit cards, approved purchase orders, ACH/wire transfer, or other methods agreed in writing.
Credit terms are subject to approval and may be modified or revoked at any time.

6. Orders, Acceptance & Fulfillment

  • All orders are subject to acceptance by Hengen Miller, Inc.

  • Order confirmations do not constitute final acceptance

  • Estimated ship dates are non-binding and provided for planning purposes only

Hengen Miller, Inc. is not responsible for delays caused by carriers, manufacturers, force majeure events, or circumstances beyond its control.

7. Shipping, Risk of Loss & Title

Unless otherwise agreed in writing:

  • Title and risk of loss transfer to the buyer upon shipment

  • Carrier claims for loss or damage must be filed by the buyer

Special packaging, labeling, inspection, or compliance requirements must be disclosed prior to order acceptance.

8. Returns, Cancellations & Restocking

  • Return requests must be submitted within 100 days of receipt and require prior approval

  • Custom, special-order, modified, clearance, or government-specified items are non-returnable

  • Approved returns may be subject to restocking fees

  • Unauthorized returns will be refused

Order cancellations may not be permitted once procurement or processing has begun.

9. Warranties & Disclaimers

Hengen Miller, Inc. distributes products manufactured by third parties.

  • Any warranties are provided solely by the manufacturer, not by Hengen Miller, Inc.

  • EXCEPT AS EXPRESSLY STATED, ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE”

  • ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW

10. Limitation of Liability

To the fullest extent permitted by law:

  • Hengen Miller, Inc. shall not be liable for indirect, incidental, special, consequential, or punitive damages

  • Total liability shall not exceed the amount paid for the specific product giving rise to the claim

This limitation does not apply where prohibited by law or superseded by applicable government contract requirements.

11. Regulatory Compliance & Product Use

Buyers are solely responsible for:

  • Compliance with all applicable laws, codes, standards, and regulations

  • Proper installation, inspection, maintenance, certification, and use of products

Hengen Miller, Inc. assumes no responsibility for misuse, improper installation, or regulatory non-compliance.

12. Export Control & Trade Compliance

Certain products may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR).

Buyers agree to comply with all applicable export, re-export, transfer, and end-use restrictions.

13. Intellectual Property

All Site content—including text, graphics, logos, documents, and designs—is the property of Hengen Miller, Inc. or its licensors and may not be reproduced, distributed, or modified without prior written consent.

14. Privacy & Data Protection

Use of this Site is also governed by our Privacy Policy, which describes how information is collected, used, and safeguarded.

15. Changes to These Terms

Hengen Miller, Inc. may update these Terms at any time. Revisions will be posted with an updated effective date. Continued use of the Site constitutes acceptance of the revised Terms.

16. Governing Law & Venue

Except as otherwise required by federal law, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Venue for non-government disputes shall lie exclusively in California state or federal courts.

17. Government Contracts, DLA, DoD & DCMA Orders

For any sale, delivery, or service performed pursuant to a United States Government contract, subcontract, purchase order, or task order—including those issued by the Department of Defense (DoD), Defense Logistics Agency (DLA), or administered by the Defense Contract Management Agency (DCMA)—the following shall apply:

  1. Order of Precedence
    In the event of a conflict between these Terms and the terms of an applicable Government contract, the Government contract shall govern.

  2. FAR & DFARS Applicability
    All applicable Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) clauses are incorporated by reference as required by law or contract.

  3. Inspection, Testing & Acceptance
    Products delivered under Government contracts are subject to inspection, testing, and acceptance by the United States Government or its authorized representatives, including DCMA Quality Assurance Representatives (QARs), in accordance with the contract.

  4. No Limitation of Government Rights
    Nothing in these Terms shall limit, waive, or restrict any rights, remedies, or authorities of the United States Government, including rights related to audit, inspection, acceptance, termination for convenience or default, compliance enforcement, or statutory remedies.

  5. Commercial Terms Superseded
    Commercial return policies, warranty disclaimers, and limitation-of-liability provisions apply only to the extent they are not inconsistent with the applicable Government contract.
